Terms, Disclosures & Privacy

The rules for using this website, what our services are and are not, how we handle potential acquisitions, and how we treat your information.

Effective October 20, 2026 · Last updated October 20, 2026

Part A · Terms of Use

1. Who we are

Rampart is a trade name of Nirmadn LLC, a Georgia limited liability company ("Rampart," "we," "us," or "our"). These terms cover the website at rampartnow.com and any related pages (the "Site").

Rampart provides business support services to HVAC, electrical, mechanical and industrial contractors, including vendor prequalification and compliance documentation, crew credential tracking, project closeout documentation, financial cleanup and exit-readiness preparation, workforce support, and related research and data services.

2. Acceptance of these terms

By using the Site, you agree to these Terms of Use and our Privacy Policy (together, the "Terms"). If you don't agree, please don't use the Site. If you use the Site on behalf of a company, you confirm you have authority to accept these Terms for that company.

We may update these Terms from time to time. The "Last updated" date at the top shows when they last changed. Continuing to use the Site after a change means you accept the updated Terms.

3. Using this website

You may use the Site for lawful business purposes. You agree not to:

We may suspend or restrict access to the Site at any time, for any reason, without notice.

4. Our services

The Site describes our services for general information only. Nothing on the Site is an offer that can be accepted to form a contract.

Every client engagement is governed by a separate written agreement (such as a proposal, statement of work, or engagement letter) signed by Nirmadn LLC d/b/a Rampart and the client. If that agreement conflicts with these Terms, the signed agreement controls.

Service descriptions, timelines, deliverables and prices on the Site may change without notice. We may decline any engagement at our discretion.

5. Intellectual property

The Site and its content, including text, graphics, layout, logos, the "Rampart" name and branding, checklists, templates and other materials, are owned by or licensed to Nirmadn LLC and are protected by copyright, trademark and other laws.

You may view and print pages for your own internal business use. You may not reproduce, distribute, modify, sell or create derivative works from Site content without our prior written permission. Ownership of deliverables created for a client is set out in that client's written agreement.

6. Information you send us

When you contact us through the Site's form or by email, you confirm the information is accurate and that you have the right to share it.

Please don't send confidential financial records, employee personal data, social security numbers, bank details or similar sensitive documents through the website form. If we engage, we'll set up an appropriate way to exchange documents.

Ideas, suggestions or feedback you send us about our services may be used by us without obligation to you. This does not apply to client confidential information covered by a written agreement.

7. Third-party links and tools

The Site may link to or rely on third-party websites and services (for example, hosting, form processing and email providers, or industry and government resources). We don't control and aren't responsible for their content, policies or practices. Your use of them is subject to their own terms.

Part B · Disclosures

8. Professional disclaimers

Rampart provides business support, documentation, organization and readiness services. To be clear about what we are not:

Not an accounting or CPA firm

Rampart is not a licensed public accounting firm. Our financial cleanup and exit-readiness work (organizing records, bookkeeping cleanup, preparing sale-ready financial packages) is not an audit, review, compilation, attestation or any other service that requires a CPA license. We do not provide tax advice or tax return preparation. Where those services are needed, you should use a licensed CPA. We may work alongside your CPA at your direction.

Not a law firm

Rampart is not a law firm and does not provide legal advice. Information about contracts, licensing, compliance, safety, labor or regulatory requirements is general business information, not a legal opinion. Consult a licensed attorney for legal advice about your situation.

Not a business broker, investment banker or securities firm

Rampart does not act as a business broker, real estate broker, investment banker, broker-dealer or financial advisor. We do not market businesses for sale to buyers, negotiate sales on behalf of sellers, or accept fees contingent on a sale closing. Our exit-readiness services are limited to preparing your records and operations. We do not give investment advice or recommendations about buying or selling any business or security.

Not a licensed contractor for your project, insurer or surety

Rampart does not perform HVAC, electrical, mechanical or other field construction work as part of these services and does not hold itself out as a licensed contractor for any client's project. We are not an insurance agent, insurance broker or surety. We may help organize documents related to insurance, bonding, safety and licensing, but we do not sell insurance or bonds or guarantee coverage or bonding capacity.

Not a safety certifier or inspector

We may help organize safety programs, training records and credentials. We do not certify that any person, crew, program or site is safe, compliant or qualified. Responsibility for workplace safety and regulatory compliance stays with the client and its employees.

9. No guaranteed outcomes

Our work is designed to make contractors better prepared. But decisions are made by others: general contractors, owners, prequalification platforms, lenders, buyers, insurers and regulators. We do not guarantee:

Any examples, case studies or figures on the Site are illustrative and are not a promise of similar results.

10. Acquisition interest disclosure

Nirmadn LLC, Rampart, and their owners and affiliates may, from time to time, be interested in acquiring or investing in HVAC, electrical, mechanical and industrial contracting businesses, including businesses that are or have been our clients.

We want you to know this upfront, and we commit to the following:

Each client's written engagement agreement contains the binding version of these commitments.

11. Confidentiality

We treat client business information, including financial records, employee and crew records, contracts, bids and customer information, as confidential. Specific confidentiality obligations, permitted uses, and return or deletion of records are set out in each client's written agreement. We may share client information with our staff, contractors and service providers who need it to deliver the work and who are bound by confidentiality obligations, or where required by law.

Information sent through the Site before an engagement is handled under our Privacy Policy, but please don't send sensitive documents until we've agreed how to exchange them (see Section 6).

12. Workforce services

Where Rampart offers workforce, staffing, recruiting or candidate-sourcing services:

13. Use of AI tools

Rampart uses software, including artificial intelligence tools, to help organize documents, draft materials, and research information, with human review of client deliverables. We choose business-grade tools and take reasonable steps so that confidential client information is not used to train publicly available AI models. AI-assisted outputs may contain errors, which is one reason client deliverables are reviewed by people and why clients should review deliverables before relying on or submitting them.

Where Rampart provides expert-sourced data, annotation or research services to third parties, we do so under separate written agreements with those parties and with the experts involved. We do not include a services client's confidential information in such work without that client's written permission.

Part C · Legal

14. Disclaimer of warranties

The Site and all content on it are provided "as is" and "as available." To the fullest extent permitted by law, Nirmadn LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and availability. We do not warrant that the Site will be uninterrupted, error-free, secure or free of viruses, or that any information on it is complete, current or accurate. Content on the Site is general information and is not tailored advice for your business.

15. Limitation of liability

To the fullest extent permitted by law, Nirmadn LLC and its owners, members, managers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost contracts, lost data or business interruption, arising out of or related to your use of, or inability to use, the Site or its content, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or related to the Site will not exceed one hundred U.S. dollars ($100).

Liability for services provided under a client engagement is governed by that engagement's written agreement. Some jurisdictions don't allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify and hold harmless Nirmadn LLC and its owners, members, managers, employees, contractors and agents from any claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

17. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in or serving Forsyth County, Georgia, and you consent to their jurisdiction and venue.

Before filing any claim, you agree to first contact us at hello@rampartnow.com and try in good faith to resolve the dispute informally for at least 30 days. Disputes under a client engagement are resolved as set out in that engagement's written agreement.
